Inhaltsangabe:Einleitung: Die allgemeine Betriebswirtschaftslehre definiert die Zielsetzung eines Unternehmens pauschal in zwei Sektoren. Zum einen ist dies die Rentabilität, welche die Absicht der Gewinnerzielung und -maximierung wiederspiegelt, und zum anderen die Liquidität, welche ein Maßstab für die jederzeitige Fähigkeit fällige Verbindlichkeiten zu tilgen darstellt. Die Realisierung dieser Punkte ist bei näherer Betrachtung nicht so trivial wie es auf den ersten Blick scheint. Insbesondere ist die Rentabilität, welche maßgeblich durch die Steigerung des Unternehmenswertes (Shareholder Value) gemessen wird, ein Problem in der heutigen Unternehmenskultur. Der Ursprung der Problematik findet sich hierbei in der Diversifikation der Interessen der Kapitalgeber (Principals) und des Managements (Agents) wieder. Die obige Definition geht von der Annahme aus, dass Manager Entscheidungen treffen, die im Interesse und Sinne der Unternehmenseigner eine Maximierung des Unternehmenswertes herbeiführen. Eine derartige Geschäftspolitik optimiert infolgedessen auch den Börsenwert einer Aktiengesellschaf. Dieses Vorgehen ist im Sinne des Shareholder Value -Gedanken der Aktionäre (Principals) als oberstes Ziel jeglichen unternehmerischen Handelns definiert. In der Praxis sind jedoch unterschiedliche Absichten in der unternehmenspolitischen Ausrichtung der Kapitalgeber und des Managements zu erkennen. Die Kapitalgeber streben in erster Linie nach einer bestmöglichen Verzinsung ihrer Einlage, um ihr Vermögen zu vermehren. Auf der anderen Seite zielen die Interessen der Unternehmensleitung nicht primär danach, die Wünsche ihrer Arbeitgeber (Kapitalgeber) zu befriedigen, sondern ihre eigene Stellung und ihre Vergütung zu sichern bzw. auszubauen. Manager sind diesbezüglich äußerst interessiert, das Unternehmenswachstum zu beschleunigen, da ihre Stellung die durch Gehalt, Macht und Status bestimmt ist mehr durch die Größe des Unternehmens, als durch dessen Marktwert assoziiert wird. Die Konfliktsituation zwischen Umsatzsteigerung und Unternehmenswert ist hierbei auf den ersten Blick schwer zu erkennen, da angenommen werden könnte, dass aus größeren Betrieben gleichzeitig ein höherer Wert hervorgeht.
