European capital markets law has developed rapidly in recent years. The former directives have been replaced by regulations and numerous implementing legal acts aimed at ensuring a level playing field across the EU. The financial crisis has given further impetus to the development of a European supervisory structure. Throughout the book emphasis is placed on legal practice, and frequent reference is made to the key decisions of supervisory authorities and courts.

Zu nennen ist hier insbesondere die Vorschrift des 23 Abs.5 AktG(2), in der das Prinzip der aktienrechtlichen Satzungs - strenge" verkorpert ist. So regelt 23 Abs.5, dass die Satzung (scil: einer AG) von den Vorschriften des Gesetzes (scil: Aktiengesetz) nur abweichen kann, wenn dies ausdrucklich zugelassen ist. Erganzende Bestimmungen der Satzung sind zulassig, es sei denn, dass das Gesetz (scil: Aktiengesetz) eine abschliessende Regelung enthalt." Da solche Ausnahmeregelungen im Aktiengesetz jedoch kaum vorhanden sind, (3) wird schnell deutlich, dass 23 Abs.5(4) zu einer erheblichen Einschrankung der Gestaltungsfreiheit bei Aktiengesellschaften fuhrt.
